End-User License Agreement
This End-User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Nilla Digital Ltd. (“Company”) governing your use of internal software tools operated by the Company (the “Software”) that integrate with QuickBooks Online via Intuit's Developer API.
1. License Grant
The Company grants the User a personal, non-exclusive, non-transferable, non-sublicensable license to use the Software solely for the User's own internal bookkeeping and administrative purposes, in connection with QuickBooks Online accounts owned or controlled by the User.
2. Restrictions
The User shall not: (a) distribute, sell, sublicense, or otherwise transfer the Software to any third party; (b) reverse engineer the Software except as permitted by applicable law; or (c) use the Software in any manner that violates Intuit's Developer Terms of Service or the QuickBooks Online Terms of Service.
3. Intuit Services
The Software integrates with QuickBooks Online via Intuit's Developer API. The User is responsible for maintaining a valid QuickBooks Online subscription and complying with Intuit's applicable terms. The Company is an independent developer and is not affiliated with or endorsed by Intuit Inc.
4. Data
The Software accesses QuickBooks Online data on behalf of the User. Data handling practices are described in the Privacy Policy.
5. No Warranty
The Software is provided “as is” without warranty of any kind. To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
6. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or special damages arising from or related to the use of the Software.
7. Termination
This Agreement terminates automatically upon the User's cessation of use of the Software or disconnection of their QuickBooks Online account.
8. Governing Law
This Agreement is governed by the laws of the Province of British Columbia, Canada, without regard to its conflict of laws principles.
